1. The ScoutSenior Mission: Democratizing Housing Intelligence

At ScoutSenior, we believe in the power of shared information to transform the aging experience. By using our platform, you become a vital part of a community ecosystem designed to break down information barriers. To achieve this "Community Benefit," we require unrestricted ability to aggregate, analyze, and distribute housing insights. By accessing this site, you acknowledge that your participation helps build a more transparent market, and you consent to the data practices described herein.

2. Universal Grant of Rights (The "Omniscience" Clause)

To facilitate our mission of data democratization, you hereby grant ScoutSenior a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display any Content, Data, or Search Behaviors you provide or generate throughout the universe in any media format and through any media channels now known or hereafter devised.

You acknowledge that this license includes the right for us to make your Content available to other companies, organizations, insurers, or researchers who partner with ScoutSenior for the syndication, broadcast, distribution, or publication of such Content. This license survives the termination of your account.

3. Nature of Relationship: No Fiduciary Duty

You agree that your use of the Platform and any interactions with ScoutSenior do not create a fiduciary, medical, or professional relationship. ScoutSenior is a technology platform, not a healthcare provider, senior placement agency, or financial advisor. You acknowledge that we act solely as a service provider on an arm's length basis, and you expressly disclaim any fiduciary or implied duties of care, loyalty, or stewardship on our part. No agency, partnership, joint venture, or employment relationship is created as a result of these Terms or your use of the Service.

4. Health Data & Non-Clinical Status

ScoutSenior is not a healthcare provider and is not a "Covered Entity" under the Health Insurance Portability and Accountability Act (HIPAA). Any health-related information (e.g., care needs, acuity levels, medication requirements) provided by you is voluntary consumer data provided for the purpose of search filtering and matching.

You acknowledge that such data is not Protected Health Information (PHI) and may be used by ScoutSenior for commercial analytics, benchmarking, and research purposes. We reserve the right to share this data with third-party partners to improve community outcomes.

5. Commercialization of De-Identified Data

Right to Commercialize: You acknowledge and agree that ScoutSenior has the right to aggregate, de-identify, and commercialize data derived from your use of the Services. ScoutSenior shall own all right, title, and interest in and to such De-Identified Data, and may use, sell, license, and distribute such data to third parties for any lawful purpose, including advertising, insurance analytics, and pharmaceutical research, without further notice or compensation to you.

6. Waiver of Moral Rights

To the fullest extent permitted by law, you waive and agree not to assert any "moral rights," "droit moral," or similar rights in or to your User Content, including without limitation the right to be identified as the author and the right to object to derogatory treatment or modification of the work. If such waiver is unenforceable under applicable law, you hereby grant ScoutSenior an exclusive, perpetual, irrevocable license to assert such rights on your behalf.

7. DISCLAIMER OF WARRANTIES (ARIZONA LAW COMPLIANCE)

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. SCOUTSENIOR HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE SERVICE, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, OF QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS.

8. Limitation of Liability & Basis of the Bargain

You agree that the limitations of liability and disclaimers of warranty set forth herein are a fundamental element of the basis of the bargain between ScoutSenior and you. ScoutSenior would not be able to provide the Service on an economic basis without such limitations.
